RAIL BALTICA BUSINESS NETWORK ESTONIA<\/strong>
\nGUIDELINES <\/u><\/strong>
\n<\/u>FOR COMPLIANCE WITH COMPETITION LAW<\/p>\n

Rail Baltica Business Netvork Estonia (RBBN) acknowledges and complies with the key PRINCIPLES arising from applicable competition law, including:<\/u><\/strong><\/p>\n

    \n
  • protection of competition for the benefit of free enterprise;<\/li>\n
  • preventing and eliminating restriction, elimination and distortion of competition.<\/li>\n<\/ul>\n

    RBBN <\/strong>as a forum (between undertakings)<\/strong> is connected in two ways with the principles of competition law:<\/p>\n

      \n
    • RBBN as an organisation<\/em><\/strong>: <\/em><\/strong>RBBN decisions must not restrict competition;<\/li>\n
    • RBBN as a meeting place \/ forum<\/em><\/strong>:<\/em><\/strong> interactions are subject to restrictions of competition law.<\/li>\n<\/ul>\n

      PROHIBITED ACTIVITIES:<\/u><\/strong> Competition law prohibits all agreements between undertakings, concerted practices and decisions of an association of undertaking<\/u>, which have an anti-competitive objective or effect, including: <\/strong><\/p>\n

        \n
      • direct or indirect fixing of<\/u> price and other trading conditions<\/u> for third parties;<\/li>\n
      • limiting<\/u> of production, service, product market, technical development or investment ;<\/u><\/li>\n
      • sharing a goods market or source of supply<\/u>, including restricting access of a third party to the goods market or attempts to exclude him\/her from there;<\/li>\n
      • exchange of information which restricts competition;<\/u><\/li>\n
      • agreeing on the implementation of different conditions for equivalent agreements which put business partners at a competitive disadvantage;<\/u><\/li>\n
      • imposing on third parties a requirement for taking additional obligations<\/u> for the conclusion of an agreement that are not related to the subject-matter of the agreement.<\/li>\n<\/ul>\n

        Consequently, THE FOLLOWING SHALL NOT BE DISCUSSED IN THE FRAMEWORK OF RBBN: <\/u><\/strong><\/p>\n

          \n
        • participation in future (public) procurements without a clear need for a joint tender;<\/li>\n
        • “allocation” of procurement and other contracts \/ markets \/ customer relationships, including the submission of “additional” bids;<\/li>\n
        • pricing (future bids), including coordination of pricing policies (including those that initially seem fair and just);<\/li>\n
        • exchange of non-public information that is sensitive to competition (in particular forward-looking information that allows for predicting the market behaviour of a particular undertaking);<\/li>\n
        • a collective boycott of third parties or other (unfavorable) restrictions on them.<\/li>\n<\/ul>\n

          At RBBN meetings: <\/u><\/strong><\/p>\n

            \n
          • we keep minutes of substantive discussions and keep those discussions within the framework of the RBBN objectives;<\/li>\n
          • we ensure that the exchange of information and documents between members takes into account the above.<\/li>\n<\/ul>\n<\/div>
